1. Acceptance and scope

These Terms of Service govern your access to and use of ZEXO websites, applications, accounts, digital-asset services and related features (collectively, the “Services”). By creating an account, accessing the Services or submitting an instruction, you confirm that you have read, understood and agreed to these Terms, the Privacy Policy, the Digital Asset Risk Disclosure and any product-specific rules displayed before you act.

If a product page, transaction confirmation, campaign rule or other supplemental term applies to a Service, that supplemental term forms part of these Terms. If there is a conflict, the more specific term governs the relevant Service. The publication timestamp shown with this document is its effective date.

2. Eligibility and permitted access

You must have legal capacity to enter into a binding agreement and must satisfy the minimum age and eligibility requirements that apply where you live or use the Services. You may not access or use the Services from a jurisdiction in which the relevant Service is prohibited or restricted, or if you are subject to sanctions, asset-freeze measures or other legal restrictions that prevent ZEXO from serving you.

You are responsible for understanding and complying with the laws, tax obligations and regulatory requirements applicable to you. ZEXO may limit product availability by location, account status, verification level, risk assessment or other lawful eligibility criteria.

3. Account registration and verification

You must provide complete, accurate and current information and promptly update it when it changes. ZEXO may require identity, address, source-of-funds, source-of-wealth, beneficial ownership, tax or other information before or during your use of the Services. You authorize ZEXO and its service providers to verify submitted information and perform screening, fraud-prevention and compliance checks.

You may maintain only the number and type of accounts permitted by ZEXO. You must not create an account for another person, transfer or sell an account, conceal beneficial ownership, or provide false or misleading information. ZEXO may reject an application or restrict an account when verification cannot be completed.

4. Account security

You are responsible for protecting your password, verification codes, passkeys, API credentials and devices. You must use available security controls and notify ZEXO immediately through the official in-product support channel if you suspect unauthorized access, credential compromise or an incorrect transaction.

Instructions authenticated with your account credentials may be treated as authorized unless ZEXO has received and acted on a valid security notice. ZEXO may delay or refuse an instruction when necessary to protect you, other users or the platform. ZEXO will never ask you to disclose a password or one-time verification code through an unsolicited message.

5. Services and product availability

Services may include spot trading, deposits, withdrawals, transfers, staking, quantitative products, trading signals, platform-token features, campaigns, rewards and other features made available from time to time. Availability, supported assets, networks, limits, settlement methods and account eligibility may change.

No statement in these Terms requires ZEXO to offer or continue any Service. A feature shown in an application may remain unavailable until its published opening conditions are satisfied. Maintenance, network conditions, liquidity, legal requirements or risk controls may delay, suspend or discontinue a Service.

6. Orders, prices and execution

Before submitting an order or instruction, you must review the asset, network, direction, quantity, price, fee, account, recipient, lock period and other confirmation details. An instruction becomes binding when accepted by ZEXO. You may not be able to cancel or reverse an accepted or completed transaction.

Displayed prices, estimates, market data and expected completion times may change before execution. Orders may execute partially, at multiple prices or not at all. ZEXO may reject, cancel or correct an order affected by insufficient funds, invalid parameters, manifest error, market disruption, suspected manipulation, technical failure or a legal or risk-control requirement. Nothing in the Services guarantees a particular price, return or execution time.

7. Deposits, custody, transfers and withdrawals

You must use only the asset, network, address, memo or tag expressly supported for a transfer. Sending an unsupported asset, using an incompatible network or omitting required information may cause permanent loss. Blockchain transactions are generally irreversible and may require network confirmations outside ZEXO’s control.

Digital assets credited to your account may be held through ZEXO or an appointed custody or wallet provider. Internal account records determine your platform balance, subject to correction of manifest error. Withdrawals may be subject to verification, security holds, compliance review, available-balance rules, network availability, fees and limits. An estimated completion time is not a guarantee.

8. Fees, limits and taxes

You agree to pay the fees displayed in the applicable fee schedule or confirmation screen. ZEXO may deduct fees and other amounts you owe from your account where permitted. Fees, minimums, maximums and rate tiers may change prospectively after publication.

You are responsible for determining, reporting and paying taxes arising from your use of the Services. ZEXO does not provide tax advice and may report or withhold information or amounts when required by law.

9. Staking, quantitative products, signals and campaigns

Product pages may specify subscription periods, lock periods, capacity, valuation methods, reward calculations, redemption windows, eligibility, settlement sources and loss allocation. Rewards, yields, projections and historical results are not guaranteed. Participation may expose you to market, liquidity, counterparty, validator, strategy, model and operational risks.

Trading signals and market information are informational tools, not personalized investment advice or instructions. You remain responsible for every decision and transaction. Campaigns, levels, titles, reimbursements and other benefits are governed by their currently published rules and do not create employment, agency, partnership, fiduciary or ownership relationships.

10. Prohibited conduct

You must not use the Services for unlawful activity; fraud; sanctions evasion; money laundering; terrorist financing; market manipulation; abusive trading; unauthorized access; malware; credential harvesting; infringement; deceptive impersonation; or activity that harms users, ZEXO or third parties. You must not circumvent limits, location controls, security measures or account restrictions, or use automated access except through an expressly authorized interface.

You must not exploit an obvious error or retain assets credited in error. If you become aware of an incorrect balance, price, reward or transfer, you must stop using the affected amount and notify ZEXO.

11. Compliance, restrictions and investigations

ZEXO may monitor activity and request information reasonably needed for security, fraud prevention, legal compliance or dispute handling. ZEXO may hold, reject, reverse where technically and legally possible, or report activity when required by law or when reasonably necessary to investigate suspected misconduct.

ZEXO may restrict, suspend or close an account; cancel access to a product; or freeze an instruction when required by law, court order, sanctions, security controls, account verification or platform protection. Where legally permitted, ZEXO will provide information about material restrictions and available next steps.

12. No investment, legal or tax advice

ZEXO does not act as your broker, adviser, fiduciary, agent or trustee unless a separate written agreement expressly states otherwise. Content, analytics, rankings, signals, rewards and communications are general information. You must independently assess suitability and obtain professional advice where appropriate.

13. Intellectual property

ZEXO and its licensors own the Services, software, interfaces, trademarks, content and related intellectual property. Subject to these Terms, ZEXO grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for your lawful personal or authorized business purposes. You may not copy, reverse engineer, resell or create derivative services except where applicable law expressly permits.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as available” basis. ZEXO does not warrant uninterrupted access, error-free operation, the availability of any asset or network, or the accuracy of third-party data. Digital assets and related products carry a substantial risk of loss. You should review the Digital Asset Risk Disclosure before using any Service.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded. Planned maintenance, emergency maintenance and events outside reasonable control may affect availability.

15. Limitation of liability

To the maximum extent permitted by law, ZEXO is not liable for indirect, incidental, special, punitive or consequential loss; lost profits; lost opportunity; loss caused by market movement; unsupported transfers; third-party systems; compromised credentials; or events outside ZEXO’s reasonable control. Any mandatory liability that cannot be excluded remains subject to applicable law.

You are responsible for losses arising from your breach of these Terms, unlawful conduct or unauthorized use of third-party rights. This section does not limit liability for fraud, willful misconduct or any liability that applicable law prohibits ZEXO from limiting.

16. Changes, suspension and termination

ZEXO may update these Terms prospectively to reflect product, legal, security or operational changes. The current publication will be available through the legal pages. If a change materially affects your rights, ZEXO will provide notice where required. Continued use after the effective date constitutes acceptance where permitted by law; otherwise ZEXO may require renewed consent.

You may stop using the Services and request account closure after satisfying outstanding obligations and completing pending transactions. Account closure does not affect accrued rights, completed transactions, audit records or provisions intended to survive termination.

17. Communications and contact

You agree that ZEXO may provide service, security, legal and transaction communications electronically through the application, website, registered contact details or official support channel. You must keep contact details current and review notices promptly.

Questions, complaints and legal notices should be submitted through the official in-product support channel. The ZEXO entity, dispute process and governing terms applicable to a specific regulated or locally provided Service may be identified during onboarding or in the relevant supplemental terms. Mandatory rights under applicable law are not displaced by this provision.

18. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without ZEXO’s consent; ZEXO may assign these Terms as part of a reorganization, transfer of business or change of service provider, subject to applicable law.

These Terms, together with incorporated policies and product-specific rules, form the entire agreement regarding the Services they govern.
